RBI Issues Draft Foreign Investment Rules, 2026 to Simplify FDI Compliance Framework
The Reserve Bank of India (RBI) has released the draft Foreign Exchange Management (Foreign Investment) Rules, 2026, proposing a simplified and principle-based regulatory framework for foreign investment in India. Stakeholders have been invited to submit their comments and suggestions on the draft by August 31, 2026.
The proposed framework follows the announcement made in the Union Budget 2026–27 regarding a comprehensive review of the Foreign Exchange Management (Non-Debt Instruments) Rules, 2019. The review is intended to modernise the regulatory structure governing foreign investments and make the applicable requirements clearer and easier to follow.
Under the draft rules, the RBI has proposed rationalising existing provisions, harmonising key definitions and reorganising the regulatory architecture. These measures are intended to reduce complexity, improve clarity and align foreign investment regulations with the government’s FDI policy and evolving commercial practices.
A key objective of the proposed framework is to establish a clearer distinction between procedural requirements under the Foreign Exchange Management Act (FEMA) and policy-based or sector-specific conditions. This separation is expected to improve regulatory consistency and facilitate the timely implementation of future policy changes.
The draft rules also seek to promote ease of doing business by streamlining regulatory procedures, reducing the compliance burden and providing greater operational flexibility. The RBI intends to create a transparent and investor-friendly system while retaining the necessary regulatory oversight of foreign investments.
The draft has been prepared following a review conducted by a committee constituted by the Central Government. Its recommendations were examined in consultation with the government and other concerned stakeholders before being incorporated into the proposed framework.
The RBI will finalise the rules after completing the public consultation process.
