Q. Appointment of Full time CS u/s 203 of the Companies act 2013 - Dear all,

Pls suggest

" One of our client recently got paid up capital increased to 5 Crores and due to this ROC has sent Show cause notice to all the directors why they have not appointed full time company secretary in company"

Now we are planing to buy back some equity so that paid up capital goes down below the 5 Cr. threshold. Then what is the procedure of buyback by the pvt. ltd.
We increased capital just 2 months ago.

And 2nd question is how to deal with Show cause notice received from ROC. Pls suggest its urgent

Issue of shares to Foreign Holding Company in consideration of Liabilities - There is a Private Limited Company fully owned by a Foreign holding Company and its subsidiaries, There is Liabilities standing in the Balance Sheet of the comapny in the name of its Holding Foreign Company. Q. contribution in kind by a shareholder - A piece of land is owned by an individual. The said individual wants to join a private company and wants to contribute his land as capital into the company. Whether registration is required of this transfer under Registration Act?
Further, the company intends to construct a few flats on the land and sell out. Is it correct under law that the concerned individual executes the sale deeds in favor of the buyers of flats and the consideration is received by the company?

Q. Which Roc Forms used for AR & FS - Sir, I have a pvt ltd co., incorporated 4.2.2014. So F.Y. start from 04.02.2014 to 31.3.15. Confusion about which ROC form i used for annual filling and F.S.

Q. Return of change in shareholding-MGT 10 - Reg MGT 10 -My queries are:
1. What is the definition of promoter for the purpose of form MGT-10. Relatives of promoter will be considered as promoter for the purpose of MGT 10 or will be considered as public.
2. 2 % change meaning- is it 2% of individual shareholder cap or 2% of co. paid up capital
3. will 2 % be considered for each change individually/separately or in aggregate.
