Q. Form 23B - Dear Friends / Experts,

Please guide me on the following, IF POSSIBLE:

I am in the process of filing RoC Forms for FYE 31/03/13 for a private limited company.

As regards the Information by Statutory Auditor to Registrar for his Appointment for FY 2013-14,

Query

Should I use Form 23B only or Manual ADT-1 Form is still usable up to FY 2013-14? (I am aware that E-Form ADT-1 shall apply from FY 2014-15 onwards).

(Form 23B was removed for sometime and restored later for CLSS 2014 purpose, hence, I have doubt).).

Thanks in advance for possible replies from all concerned.

Q. Transfer Unsecured Loan to Share Capital - Dear All,

Following is the situation, please answer asap:-

Unsecured Loans from Directors/Shareholders-Rs 3 Cr
Share Capital- Rs 7 Lakhs

Now, the Director/Shareholder wants to transfer Rs 1 Cr from Unsecured Loan to Share Capital.

Basically he wants to capitalize its Loans portion and wants to build a stronger Balance Sheet.

Please advise whether Share capital can be issued from amount of Unsecured Loan?

Q. Issues of shares of a pvt. ltd. company as per companies act 2013 - Dear all,

My client has 2 companies M/s XYZ Pvt. Ltd. and M/s ABC Ltd.
XYZ owes Rs. 2.00 Crores to ABC. Now the client has decided to issue shares of XYZ to ABC to complete the transaction as XYZ does not have fubds.

Now my query is whether the shares can be issued to complete the above transaction??? if yes, what is the procedure for the same and if not, then what can be alternative course of action for the same.

Q. e-form CHG1 filed for creation of charge of foreign bank like ADB and World bank - As per companies act,2013 we are required to file e-form CHG 1/9 to register charge. e-form requires PAN of chargeholder. Chargeholder like foreign bank,does not have PAN. Question is how e-form will be filed at mca-21 without pan of chargeholder? Even I have complaint at mca21 complaint portal. But they did not give satisfactory answer. Kindly suggest on it.
